1. Nature of Services
SupportAct provides mentoring, consulting, and advisory services to founder-led and family businesses.
These services are practical and experience-based. They are not therapy, counselling, legal advice, financial advice, or any form of regulated professional advice. Where specialist advice is required, the client is responsible for engaging an appropriate qualified professional.
2. Responsibilities
SupportAct will deliver services with professionalism, care, and appropriate boundaries.
The client is responsible fopor attending scheduled sessions or working meetings on time, engaging with agreed actions between sessions, and communicating openly about progress, priorities, or concerns.
Outcomes depend on client decisions and actions following discussions. SupportAct cannot act on the client’s behalf unless explicitly agreed in writing.
3. Sessions, Attendance & Rescheduling
Scheduled sessions or working meetings form part of the agreed service structure.
Sessions may be rescheduled with at least 24 hours’ notice, subject to availability. Sessions cancelled with less than 24 hours’ notice, or not attended, are forfeited and charged in full. SupportAct may, at its discretion, treat genuine emergencies with fairness, but this does not create any ongoing right to rescheduling or credit.
4. Fees, Cycles & Payment Terms
All SupportAct services are sold and delivered in fixed 4-week cycles, unless explicitly agreed otherwise in writing.
Fees are set out in the relevant proposal or agreement. Invoices are issued in advance of each 4-week cycle. Payment is due upon receipt of invoice. Services are confirmed and delivered only once payment has been received.
SupportAct’s preferred payment method is GoCardless Direct Debit. Bank transfer may be accepted by prior agreement and in exceptional circumstances only.
5. Refunds, Cancellations & Discretion
Fees are non-refundable once a 4-week cycle has started, whether or not sessions are attended.
Where a session cannot be rescheduled within the same 4-week cycle for any reason, including holidays or availability, the session is forfeited.
At its sole discretion, SupportAct may allow an alternative arrangement on a one-off goodwill basis. Any such exception does not alter these Terms & Conditions, does not create a right to future refunds, credits, or rescheduling, and does not set a precedent for any future cycle or engagement.
Ending an engagement part-way through a paid cycle does not create any entitlement to a refund, credit, or carry-forward sessions.
6. Late Payment
If payment is not received on time, SupportAct may pause delivery until the account is settled.
A £15 late payment administration fee may be applied per overdue invoice. Statutory interest may be charged at 8% above the Bank of England base rate.
7. No Guarantees or Promises
SupportAct provides mentoring and consulting in good faith but does not guarantee outcomes.
While working with a mentor or consultant is widely associated with improved clarity, performance, growth, and reduced firefighting, results depend on the client’s decisions, actions, and follow-through, as well as factors outside either party’s control.
No guarantees are made regarding financial performance, growth rates, customer numbers, team performance, timelines, or measurable results.
8. Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement.
Confidentiality obligations apply for the duration of the engagement and for three years after it ends.
9. Professional Boundaries & Conflicts of Interest
SupportAct maintains clear professional boundaries at all times.
Any conflict of interest will be raised promptly and addressed in good faith. SupportAct may terminate the engagement if a conflict cannot be resolved.
10. Limitation of Liability
All decisions and actions remain the responsibility of the client.
SupportAct is not liable for business, commercial, financial, or personal outcomes arising from mentoring or consulting discussions, except where liability cannot be excluded under Scottish law.
11. Intellectual Property
All frameworks, tools, materials, notes, and written outputs created by SupportAct remain the intellectual property of SupportAct.
Clients may use these materials internally but may not reproduce, publish, or distribute them without written permission.
12. Data Protection
Both parties will comply with UK GDPR and applicable data protection laws.
Any personal data processed during the engagement will be handled in line with SupportAct’s privacy practices.
13. Duration & Ending the Engagement
This agreement begins on the date of signing.
Either party may end the engagement with 28 days’ written notice, aligned to the end of a 4-week cycle.
SupportAct may terminate immediately in cases of non-payment, breach of confidentiality, inappropriate conduct, or an unresolved conflict of interest.
14. Professional Standards
SupportAct operates in line with the Association of Business Mentors Code of Practice (2025) and applies the same standards of ethics, integrity, and professionalism across all services.
15. Insurance
SupportAct holds full professional indemnity insurance for mentoring, consulting, and advisory work.
16. Governing Law
These Terms & Conditions are governed by Scottish law, with exclusive jurisdiction of the Scottish courts.
